Crimzonhost LLC – SentinelOne Agreement

This Licensing Agreement (the “Agreement”) is entered into by and between Crimzonhost LLC and the party purchasing access to SentinelOne services (referred to as the “Client”). By purchasing SentinelOne licensing and services, the Client agrees to the terms set forth below.
1. Services Provided
Crimzonhost LLC provides access to the SentinelOne antivirus product and its management console. The Client will receive:
Licensing for SentinelOne.
Documentation via Crimzonhost LLC’s Knowledge Base (KB).
Limited monitoring of account configurations as outlined in this Agreement.
Crimzonhost LLC does not offer response or support for incidents unless explicitly requested and agreed upon under separate terms.
2. Licensing and Billing
2.1 Per-Endpoint Licensing
SentinelOne licensing is billed per endpoint.
2.2 Minimum Billing Requirement
A minimum of one endpoint will be billed regardless of the number of endpoints deployed.
Clients who wish to cancel their account must contact Crimzonhost LLC Support to request account deletion.
2.3 High Water Mark Billing
Monthly billing is based on the high water mark of deployed agents.
2.4 Refund Policy
Refunds, if requested, will only cover the prorated amount for the current month.
For yearly licenses, if canceled after 30 days from the start date, the Client will receive a refund of 20% of the paid amount.
Breaches of contract or misuse of services will not result in refunds being issued.
2.5 Price Increases
Crimzonhost LLC retains the right to increase prices:
Monthly billed customers: Prices may increase with a 30-day notice provided.
Yearly billed customers: Price increases will apply only upon renewal.
2.6 Resale Restriction
This product may not be resold.
Deployments exceeding 25 licenses will require a meeting with a Crimzonhost LLC representative to determine if licensing can be provided.
If not previously reviewed, Clients who exceed 25 licenses will be contacted by a Crimzonhost LLC representative to discuss their needs.
3. Limitations and Disclaimers
3.1 Exclusion of Consequential Damages
In no event, whether as a result of breach of contract or warranty, tort liability (including negligence), or under any other legal theory, shall Crimzonhost LLC be liable for any incidental, consequential, punitive, exemplary, special, or indirect damages or losses whatsoever, including but not limited to:
Loss of profit, savings, revenue, interest, or investments.
Loss of goodwill, cost of capital, cost of substitute equipment, facilities, or services.
Downtime costs or claims of customers.
3.2 Limitation of Liability
Crimzonhost LLC’s maximum liability under this Agreement shall be limited to 20% of the relevant purchase order value.
3.3 Force Majeure
Failure of either party to perform under this Agreement (except the obligation to make payments) shall not subject such party to any liability to the other if such failure is caused by any event beyond the reasonable control of the party concerned, provided that written notice of such event is promptly given to the other party.
4. Technical Support
All support requests will be reviewed by Crimzonhost LLC, which retains sole discretion to deny requests deemed unnecessary, inappropriate, or outside the scope of agreed-upon services.
Requests may also be denied if they do not align with the technical requirements or nature of the services provided.
General support is subject to an SLA of 7 days and includes:
Chat and email support only.
Knowledge Base articles and guidance will be provided.
Hands-on support will not be provided.
Recovery may not always be possible in some instances, and Crimzonhost LLC does not guarantee data recovery during any engagement.
Two-factor authentication (2FA) is required for accessing the SentinelOne portal.
5. Client Responsibilities
The Client is responsible for contacting Crimzonhost LLC Support if they cannot access their SentinelOne account.
Changes to licensing, endpoint counts, or exclusions must be reported to Crimzonhost LLC.
Non-recommended exclusions will be monitored to prevent unintended consequences, such as reduced protection.
6. Data Collection and Privacy
Crimzonhost LLC collects the following data:
Endpoint count and operating system type for licensing purposes.
Account administrators and service account users for reporting unauthorized changes.
Non-recommended exclusions for review and advisory purposes.
Crimzonhost LLC retains the ability to view logs stored in the SentinelOne data lake only during:
Requested engagements.
Suspected breaches of service.
7. Termination of Services
7.1 Term and Amendments
This Agreement shall remain in effect until modified or terminated by Crimzonhost LLC. Any modifications will be communicated to Clients with 30-day notice where applicable.
7.2 Exit Clause
In the event Crimzonhost LLC ceases operations, all services under this Agreement will be terminated. Crimzonhost LLC shall not be liable for any costs incurred by the Client for migrating to alternative services.
7.3 Breaches of Contract & Fraudulent Misrepresentation
If the Client breaches the terms of this Agreement or misuses the service, Crimzonhost LLC reserves the right to terminate the Agreement immediately without issuing refunds. Breaches include, but are not limited to:Fraudulent or unauthorized payments — use of payment methods that are stolen, unauthorized, or not belonging to the Client.Business misrepresentation — providing false, misleading, or unverifiable information regarding the legitimacy, nature, or existence of the Client’s business at the time of signup or at any point during the service term.Geographic misrepresentation — falsely stating a business location, billing address, or operational jurisdiction that does not accurately reflect the Client’s actual country or region of operation.Payment fraud indicators — use of payment instruments where the issuing bank, payment processor, or associated jurisdiction materially conflicts with the stated business location or billing information, without prior written disclosure to Crimzonhost LLC.In any of the above circumstances, no refund will be issued. Crimzonhost LLC further reserves the right to report fraudulent activity to relevant payment processors, financial institutions, and law enforcement authorities as deemed appropriate.
